We are an authorised, certified partner of Tally Solutions Pvt. Ltd. and provide software licensing, cloud hosting, TDL customisation, AMC/TSS support, and web development services.

2 Use of Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• • Use the site to transmit unsolicited promotional material or spam
• • Attempt to gain unauthorized access to any part of the website or its related systems
• • Reproduce, duplicate, or exploit any content from this site without express written permission
• • Misrepresent your identity or affiliation when contacting us

3 Products and Services

We offer the following categories of products and services:

• • TallyPrime Software Licenses — single and multi-user, Silver and Gold editions
• • Tally on Cloud — remote hosting and access solutions
• • Tally Software Services (TSS) — annual subscription for updates and statutory compliance
• • TDL Customisation — bespoke development of Tally Definition Language modules
• • AMC / Support Contracts — annual maintenance and technical assistance
• • Web Development — design and development of business websites

All TallyPrime products are licensed by Tally Solutions Pvt. Ltd. and are subject to their End-User License Agreement in addition to these Terms.

4 Pricing and Payment

• • All prices are in Indian Rupees (INR) and are exclusive of GST unless expressly stated otherwise; applicable GST will be charged at the prevailing rate and shown separately on your GST invoice
• • Prices are subject to change without prior notice; the price at the time of order confirmation is binding
• • Payment is due in full before delivery of software licenses or commencement of services
• • We accept bank transfer (NEFT/RTGS/IMPS), UPI, and other modes as communicated at time of sale
• • A GST invoice will be issued for every transaction

5 Intellectual Property

All content on this website — including text, graphics, logos, images, and page layouts — is the property of Suman Software Solutions Private Limited or its content suppliers and is protected under applicable Indian and international copyright laws. You may not reproduce, modify, or redistribute any content without our express written consent. TallyPrime and related marks are trademarks of Tally Solutions Pvt. Ltd.

6 Limitation of Liability

To the maximum extent permitted by applicable law, Suman Software Solutions Private Limited shall not be liable for:

• • Any indirect, incidental, special, or consequential damages arising from use of our services
• • Loss of data, profits, or business opportunities
• • Downtime, service interruptions, or errors in third-party software (including TallyPrime)
• • Any issue arising from misuse of the software or failure to follow our implementation guidelines

Our total liability in connection with any claim shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

7 Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of viruses. TallyPrime software warranties are governed exclusively by Tally Solutions Pvt. Ltd.'s terms.

8 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Thane, Maharashtra, India. We encourage amicable resolution of disputes; please contact us before initiating legal proceedings.

9 Changes to These Terms

We reserve the right to modify these Terms at any time. We will update the "Last updated" date when changes are made. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

10 Force Majeure

We shall not be liable for any failure or delay in the performance of our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, floods, fire, war, government actions, power failures, internet or telecommunications outages, pandemic, strikes, or any failure or disruption in third-party systems (including Tally Solutions' servers or payment gateways). In such events, our obligations will be suspended for the duration of the force majeure event.

11 Indemnification

You agree to indemnify, defend, and hold harmless Suman Software Solutions Private Limited and its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our website or services in violation of these Terms; (b) any false or incorrect information provided by you; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights.

12 General Provisions

• • Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, Cancellation Policy, Delivery Policy, and EULA, constitute the entire agreement between you and Suman Software Solutions Private Limited and supersede all prior communications, representations, or agreements, whether written or oral.
• • Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.
• • No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Suman Software Solutions Private Limited.
• • Policy Conflict: In the event of any conflict between these Terms and a specific policy page (Refund, Cancellation, Delivery, EULA), the specific policy shall take precedence for that subject matter.
